How to use Proximity Chat in Warzone 2 Season 3 Reloaded
Proximity Chat in Call of Duty: Warzone 2.0 is the default setting for anyone using a microphone in the game’s chat. This means that your microphone is open to the lobby, more specifically, anyone within your proximity/range.
This is different from the main voice chat that is always available with your teammates. With Proximity Chat enabled, you will be able to hear the mic chatter of any nearby players and vice versa – allowing for ambushes and heat-of-the-moment planning or panic.

If you don’t want your microphone to be open to nearby players and vice versa then you can disable Proximity Chat by going to the Warzone 2 Audio settings.

Modern Warfare 2 does not have Proximity Chat and this feature is being reserved for Warzone 2 only.
As with all things, if it proves to be successful in Warzone 2 and fans demand it enough then the devs may opt to implement it at some point in MW2’s future, or even in CoD 2023, rumored to be called Modern Warfare 3.
